European Healthcare Acquisition & Growth Company B.V. in liquidatie (the "Company"), a Dutch operators-led special purpose acquisition company listed on Euronext Amsterdam, announces the final liquidation distribution.
The Company (i) deposited the liquidation accounts (rekening en verantwoording) and the plan of distribution (plan van verdeling) with the Dutch Trade Register of the Chamber of Commerce and at the head office of the Company, and (ii) announced the liquidation in a national newspaper on 20 November 2024. As a result hereof, the liquidation process commenced, and the statutory two months' creditor opposition period started, on 20 November 2024.
The court of Amsterdam has confirmed that no one has opposed to the final report and the plan of distribution. Therefore, the liquidators (vereffenaars) of the Company (the "Liquidators") will proceed with the final liquidation payment to holders of the Company's class A ordinary shares (the "Public Shares").
The Liquidators have instructed ABN AMRO as listing and payment agent to pay an amount of €10 per Public Share to the holders of the Public Shares (the "Final Liquidation Payment"). The Liquidators expect that the Final Liquidation Payment will be paid on 5 February 2025. The Final Liquidation Payment will extinguish shareholders' rights to receive further liquidation distributions, if any.
Any remaining assets will be distributed to the holders of the class B ordinary shares. When the Company does not have any remaining assets, the Company ceases to exist and will be deregistered from the Dutch Trade Register.
